Sukiru Manager Terms of Use

1. Who We Are

Sukiru is built and operated by:

When we say “we”, “us” or “our”, we mean Sukina Software Ltd.

2. Who These Terms Apply To

These Terms are for organisations and people who use Sukiru Manager, or whose information appears in Sukiru because it was added through Manager. That includes:

• Ink suppliers
• Ink manufacturers and brands
• Product manufacturers
• Advertisers
• Anyone we give access to manage listings, posts, documents, recalls, API keys or similar content

You don’t need your own account for these Terms to apply. If we add supplier posts, brand details, adverts or other listings for you, you are still responsible for that content and for keeping it accurate.

The artist-facing Sukiru app has its own Terms of Use. These Manager Terms cover the portal and the content published through it.

3. What Sukiru Manager Is (and Isn’t)

Sukiru Manager is the portal we use to run and publish business content in Sukiru. Depending on your access, it may let you (or us, on your behalf):

• Manage supplier and brand profiles
• Create and edit supplier posts, images and offers
• Publish ink, series, document and recall information
• Manage advertiser listings
• Assign sponsorship tiers that affect how many posts appear in the app
• Issue API keys and other tools we make available

Sukiru Manager is a publishing and administration tool.

It does not replace your professional judgement, legal advice, regulatory responsibilities, advertising rules, tax advice or accounting support. You’re still responsible for running your business properly and legally.

4. Your Account

If you have a Manager account, please keep it secure.

You’re responsible for:

• Providing accurate information
• Keeping your login credentials safe
• Everything that happens under your account
• Who you allow to access your account or claims

If you think someone has accessed your account without permission, tell us as soon as possible.

If you don’t have an account, you’re still responsible for content published about your business. Ask us to correct or remove anything that shouldn’t be there.

5. Your Content

You own the content you provide, including names, descriptions, links, logos, images, videos, offers, documents and product information.

By using Manager, or by allowing us to publish content for you, you give us permission to host, store, display and distribute that content in Sukiru, related listings and any JSON or app feeds we use to run the Service.

You are responsible for ensuring your content:

• Is accurate and not misleading
• Is lawful in the places it may be shown
• Does not infringe anyone else’s intellectual property or privacy rights
• Uses images and copy you have the right to use
• Complies with advertising, consumer and product rules that apply to you

6. Ethos and Editorial Control

Sukiru is built for tattoo and permanent makeup professionals. We care about how brands, suppliers and offers appear in the app.

We may refuse, delay, edit, hide or permanently remove a post, advert, image, listing or other item if, in our view:

• The details or images don’t align with our ethos
• The content is misleading, offensive, unlawful or harmful
• The content infringes someone else’s rights
• The quality, claims or presentation aren’t suitable for Sukiru
• You’ve misused the portal or these Terms

We don’t have to publish anything, and we don’t have to give a reason when we refuse or remove content.

7. Sponsorship Tiers

Some suppliers and manufacturers may be assigned a sponsorship tier. A tier can affect how many posts or other items are visible in the app at any one time.

Please know that:

• We may assign, change, suspend or revoke a tier at any time
• A tier is only active between its start and end dates
• If a tier is revoked or expires, visible listings may drop to none
• Having more records in Manager than your tier allows does not mean they all appear in the app

A tier is not a guarantee of impressions, ranking, featured placement or any particular commercial result.

We may change tier names, descriptions, charges or counts. If a charge you pay changes, we will give notice in advance where we reasonably can.

8. Acceptable Use

Please use Sukiru Manager responsibly. There should be no misuse of the portal, the app listings, or anyone else’s account.

You must not:

• Break the law
• Publish fraudulent, misleading or illegal information
• Upload viruses or harmful code
• Infringe someone else’s intellectual property
• Harass, threaten or abuse others
• Attempt to access systems or data you’re not authorised to access
• Scrape, overload or interfere with Sukiru or Manager

About Image Uploads

You must not upload images that:

• Contain illegal material
• Involve sexual exploitation or inappropriate content involving minors
• Promote violence, hate or criminal activity
• Infringe someone else’s rights
• Contain harmful or malicious code
• Don’t align with our ethos for how brands and offers appear in Sukiru

If we believe an account or listing is being used for unlawful, abusive or harmful behaviour, we may remove content and close access without refund.

9. Accuracy & Information

We work hard to keep Manager and the app helpful and reliable. However, we can’t promise that:

• Every listing, post or brand detail is always accurate or up to date
• Ink, product or recall information is error-free
• Images or colour representations match real-world results
• The portal or app will always be bug-free or uninterrupted

You’re responsible for checking and updating your own information. Use your own judgement and verify anything important.

Sukiru Manager is provided “as is” and “as available”.

10. Intellectual Property

All rights in Sukiru and Sukiru Manager, including the software, branding and design, belong to Sukina Software Ltd.

Please don’t copy, modify, reverse engineer, resell or redistribute any part of the Service without written permission.

You keep the rights in your own content, subject to the permission you give us in section 5.

11. Third-Party Services

Sukiru Manager relies on trusted third-party providers (like hosting and storage services).

We can’t control their systems, availability or policies, and we’re not responsible for their outages or errors.

12. Service Availability

We aim to keep Manager and related app listings running smoothly, but we can’t guarantee:

• 100% uptime
• Zero bugs
• No interruptions
• No data loss

Maintenance and technical issues can happen. Using Manager, or having content published through it, is at your own risk.

13. Limitation of Liability

To the maximum extent allowed by law, we’re not liable for:

• Loss of profits
• Loss of business or revenue
• Loss of data
• Business interruption
• Reputational damage
• Indirect or consequential losses
• A post or listing not appearing, ranking or performing as you hoped

If we are found liable, our total liability is limited to:

• The amount you paid us in the previous 12 months; or
• £100 if you haven’t paid anything.

Nothing in these Terms excludes liability that cannot legally be excluded under UK law.

14. If Something Goes Wrong (Indemnity)

If your use of Sukiru Manager, your content, or your actions cause legal claims or losses against us, you agree to cover those losses.

15. Suspension or Termination

We may suspend or permanently close your account, revoke a sponsorship tier, and remove published content if you:

• Break these Terms
• Engage in unlawful or harmful behaviour
• Misuse the platform
• Publish content that doesn’t meet the standards in these Terms

If access is terminated:

• Your portal access ends immediately
• Listings, posts and other items may stop appearing in the app
• We may delete or retain data as needed to operate the Service or meet legal duties

16. Privacy

Your use of Sukiru Manager is also governed by our Privacy Policy.

You’re responsible for ensuring you have lawful grounds to share any personal data you submit (for example contact names or email addresses).

17. Changes to These Terms

We may update these Terms from time to time.

If changes are important, we’ll make reasonable efforts to let you know.

If you continue using Manager, or continue to have content published in Sukiru, after changes take effect, you’re agreeing to the updated Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes will be handled by the courts of England and Wales, unless mandatory consumer laws say otherwise.
